The Haciendas Club

1.- Purpose:

These General Terms and Conditions regulate the subscription to The Haciendas Club as well as the conditions of your membership.

These Terms and Conditions may also be referred to as the T&C and/or the Contract.

The Haciendas Company and The Haciendas are trade names and/or trademarks of The Haciendas-Company Ltd. (hereinafter also referred to as THC Ltd.) and/or The Haciendas-Company –Sucursal em Portugal- (hereinafter referred to as THC).

THC Ltd. is a company duly incorporated under the laws of England & Wales, with company registration number 08228267 and registered office at 74-78 Ground Floor, Temple Chambers, 3-7 Temple Avenue, EC4Y 0DT London, United Kingdom.

THC is a duly registered branch office in Portugal of The Haciendas-Company Ltd., with corporate address at Avenida da Republica, 15, 5º,1050-185, Lisboa, Portugal (NIPC 980486173). The purpose of THC is, among others, the marketing, distribution, wholesale, retail sale, direct Business to Consumer and Business to Business sales (both on-line and off-line) of fine wines and food products as well as global hospitality management services, including restaurants, hotels, events & banqueting.

2.- The Haciendas Club:

THC operates The Haciendas Club which offers a range of privileges to its members, Our GOLD + MEMBERSHIP brings you different advantages such as:

Exclusive access to special wine selections; 2 nights for 2 people, in a double room, at Hacienda Zorita Natural Reserve Wine·. Bookings subject to availability. Non-accumulative offer. Nights to be enjoyed during the current year of membership. Exclusive access to limited wine & food editions and preferential ratings. Access to the Clubhouses facilities in Madrid and Duero Valley. Exclusive access to Hideaway Villas. Submitting the Club number will be required when making a reservation or purchase. Gold Member Price: £500. (VAT incl.).

Wine, food and spirit selections may vary every year with the aim of improving the offering to our members and make it more relevant. Both new and renewed members will get the same selections each year.

Annual subscription to The Haciendas Club is a one-off payment on the day of joining. Payment for membership can be made in-full by debit/credit card (Visa or MasterCard).

The members that provide us with direct debit data implies they are accepting the automatic renewal based on the T&Cs set out in the subscription forms. In those cases where we do not have direct debit details, the B2C sales teams will proceed at the moment of the renewal to contact the member for the renewal. Whenever is possible, direct debit is the preferred option to us as it guarantees a long-term member and less time and effort from our sales teams involved in the renewal process.

The annual subscription shall automatically be renewed for successive annual periods. If you do not wish the automatic renewal to apply, please contact us in writing at least one month prior to the expiry of your annual subscription stating that you do not wish to renew your annual subscription.

Delivery of the wine selection is free for members in the UK Mainland, Spain (Mainland) and Portugal. For the rest of the countries local delivery costs will be applied. Please contact our Customer Service Department for a quote.

For wine deliveries to: Ceuta, Melilla, Canary islands, Balearic Islands, Isle of Man, Scilly Isles, Scottish Highlands and Isles and Northern Ireland, please contact our Customer Service Department for a quote.

Due to customs restrictions, we are unable to deliver to the Channel Islands (Alderny, Guernsey, Jersey, Sark) or the Republic of Ireland.

Upon joining THC, confirmation of payment will be emailed to you within 2 working days.

After your 14-day Right of Withdrawal regulated below- members cannot cancel their annual subscription.

The entire annual membership must be paid in full in order to avail of the complimentary night’s stay. Accommodation must be booked in advance and is subject to availability.

Membership price is subject to changes in excise, duties or VAT.

3.- Right of Withdrawal and Returns Policy:

Should this be a “distance contract” formed by “means of distance communication” as both terms are defined in the European Directive 97/7/EC, you shall have a period of fourteen (14) working days in which to withdraw from the Contract without penalty and without giving any reason (“Right of Withdrawal”). The period for exercise of your Right of Withdrawal shall begin from the day of conclusion of the Contract.

Returns policy: Your satisfaction with our products is very important to us.  We ask you to please report immediately any damages, delivery, quality or service-related issues to us by telephone on our Customer Sales and Service Department (Spain line – 902 381 038 and Other Country’s – 0845 60 38 565) or by email to contactus@the-haciendas.com.

4.- Data protection:

THC, THC Ltd. and its Companies group are committed to ensure protection of the private sphere of individuals as well as protection against the misuse of their personal data.

Data Controller and information that we collect from you: When you subscribe to the Club, you may be asked to provide certain information about yourself including your name, contact details and credit or debit card information, etc (“Personal Data”). To maintain customer service standards and to assist staff training, we may record and monitor incoming calls.

Personal Data will be collected and processed by The Haciendas-Company Ltd –Sucursal em Portugal- with corporate address at Avenida da Republica, 15 5º 1050-185 Lisboa (NIPC 980486173).

You are required to notify us of any change in their personal information so that the information held by us is up-to-date at all times and does not contain errors.

Use of your information: THC will use your personal data for the following purposes: provisions and billing of the product and services requested by the customer; customer administration; dispute management; providing information about or promoting our products and services; establishment of user profiles for marketing purposes based on the customer’s use of our product, services and Websites; quality control of the services; market surveys. We will also use and analyse the information we collect so that we can administer, support, improve and develop our business.

Customers expressly consent to their supplied e-mail address and telephone number being used for sending electronic marketing messages. In particular, we may use your personal data to inform you about our services and products only in line with applicable laws and regulations. If you change your mind about being contacted in the future, please let us know through our customer service email address: contactus@the-haciendas.com.

Disclosure of your information: You agree that, to ensure the provision of the services THC and THC Ltd. may disclose your Personal Data information to its employees, agents and companies belonging to our group located in European countries granting a same level of protection.You expressely consent the assigment of your Personal Data for the purposes regulated under section “Use of your Information”.

We may also disclose your information to governmental agencies or entities, regulatory authorities, or other persons in line with applicable rules, orders, subpoenas, official requests, or similar processes as either required or permitted by applicable law.

Unless required to do so by law, we will not otherwise share, sell or distribute to governmental agencies or entities any of the information you provide to us without your consent.

So that we can fulfil customer orders and other related requests, THC must furnish certain details of its clients (name, address, telephone number, etc.) to other companies involved in providing courier and transport services. In all cases, these details are only those strictly necessary to process the order.

Your rights: In addition to the legal requirements, all collection and management of such your Personal Data is undertaken under strict security levels that prevent loss or interference of the same.

In accordance with applicable legislation, all clients of THC have the right to access, rectify, cancel and oppose their persona data. Security of your personal information: We will take reasonable technical and organizational precautions to prevent the loss, misuse or alteration of your personal information. We store all the personal information you provide on its secure (password and firewall protected) servers. You accept that data transmission over the Internet is inherently insecure and The Haciendas Company cannot guarantee the security of data sent over the Internet.

6.- Customs:

Delivery of Products outside of the EU may be subject to import duties and taxes, which are levied once the package reaches the specified destination. Any additional charges for customs clearance must be borne by you; we have no control over these charges. Customs policies vary widely from country to country, so you should contact your local customs office for further information. Your privacy is important to us and we would like our international customers to be aware that cross-border deliveries are subject to opening and inspection by customs authorities.

7.- Liability:

THC and/or THC Ltd will not be responsible for (i) losses that were not caused by any breach on our part, or (ii) any business loss (including loss of profits, revenue, contracts, anticipated savings, data, goodwill or wasted expenditure), or (iii) any indirect or consequential losses that were not foreseeable to both you and us when you joined the Haciendas Club.

We will not be held responsible for any delay or failure to comply with our obligations under these conditions if the delay or failure arises from any cause which is beyond our reasonable control. This condition does not affect your legal right to have goods sent or services provided within a reasonable time or to receive a refund if goods or services ordered cannot be supplied within a reasonable time owing to a cause beyond our reasonable control.

The laws of some countries do not allow some or all of the limitations described above. If these laws apply to you, some or all of the above limitations may not apply to you and you might have additional rights.

Nothing in these conditions limits or excludes our responsibility for fraudulent representations made by us or for death or personal injury caused by our negligence or willful misconduct.

8.- Venue and applicable law:

These Terms and Conditions and the matters related to them shall be governed by and shall be construed in accordance with the Law of England and Wales, and each party hereto irrevocably submits to the jurisdiction of the courts of London in connection with any disputes or claims arising in connection with them.
